1. Agreement to Terms

By accessing or using PitchMyIdea ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Intellectual Property Protection & Idea Ownership

2.1 Ownership of User Content

You retain full ownership and intellectual property rights to all ideas, content, and materials you submit to the Platform ("Your Content"). PitchMyIdea does not claim ownership of Your Content. By submitting Your Content, you:

• Retain all copyright, trademark, and other intellectual property rights
• Grant PitchMyIdea a limited, non-exclusive license to display, store, and distribute Your Content solely to operate the Platform
• Warrant that Your Content is original and does not infringe on third-party rights

2.2 Prohibition on Idea Theft and Misappropriation

Strictly Prohibited Activities:

• Copying Ideas: You may not copy, replicate, or duplicate any idea posted by another user for your own use or commercial purposes
• Misappropriation: You may not claim, represent, or imply that another user's idea is your own
• Unauthorized Use: You may not use, develop, commercialize, or exploit another user's idea without their explicit written permission
• Data Harvesting: You may not systematically extract, scrape, or collect ideas from the Platform for any purpose
• Competitive Intelligence: You may not use the Platform to gather competitive intelligence or replicate existing ideas

2.3 Confidentiality and Non-Disclosure Expectations

When you view or access ideas on PitchMyIdea, especially those marked as "Limited" or "Private," you agree to:

• Treat the idea information as confidential
• Not disclose, share, or publish idea details outside the Platform without explicit permission
• Respect the intellectual property and commercial value of ideas
• Only use idea information for the purpose of collaboration through the Platform

This creates an expectation of confidentiality similar to a non-disclosure agreement (NDA) for all ideas you access on the Platform.

2.4 Consequences of Violation

Violation of intellectual property protections will result in:

• Immediate account termination without refund
• Permanent ban from the Platform
• Legal action including but not limited to claims for:
  • Copyright infringement
  • Misappropriation of trade secrets
  • Breach of contract
  • Unfair competition
  • Damages including lost profits and legal fees
• Reporting to law enforcement if the violation involves criminal activity

3. User Accounts and Responsibilities

3.1 Account Requirements

• You must be at least 18 years old to use the Platform
• You must provide accurate and complete information
• You are responsible for maintaining account security
• You may not share your account with others
• You are responsible for all activities under your account

3.2 Prohibited Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights (see Section 2)
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Spam or send unsolicited communications
• Interfere with Platform operations or security
• Use automated systems to access the Platform
• Reverse engineer or attempt to extract Platform code

4. Subscription and Payment Terms

• Subscriptions are billed on a recurring basis (monthly or annually)
• You authorize automatic charges to your payment method
• Fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• You may cancel your subscription at any time
• Cancellation takes effect at the end of your billing period

5. Collaboration and Offers

• Offers to collaborate are non-binding expressions of interest
• Collaboration agreements are between users, not PitchMyIdea
• You are responsible for due diligence before collaborating
• We recommend formal agreements outside the Platform for serious collaborations
• PitchMyIdea is not liable for collaboration disputes or outcomes

6. Platform Availability and Modifications

• We do not guarantee uninterrupted or error-free service
• We reserve the right to modify, suspend, or discontinue features
• We may perform maintenance that temporarily affects availability
• We are not liable for service interruptions or data loss

7. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

PitchMyIdea is not responsible for:

• The accuracy or quality of user-submitted content
• Collaboration outcomes or disputes between users
• Intellectual property disputes between users (though we will investigate violations of these Terms)
• Loss of data, profits, or business opportunities
• Unauthorized access to your account (if due to your negligence)

Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

8. Reporting Violations

If you believe someone has violated these Terms, especially intellectual property protections, please report it immediately:

• Include evidence of the violation (screenshots, URLs, timestamps)
• We will investigate promptly and take appropriate action
• Reports are kept confidential

9. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms, especially intellectual property protections
• Fraudulent or illegal activity
• Failure to pay subscription fees
• Harmful or disruptive behavior

Upon termination, your right to use the Platform ceases immediately. We may delete your account and content, though some information may be retained for legal purposes.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except where prohibited by law. You waive the right to a jury trial and class action lawsuits.

11. Governing Law
